2. Nature of GBPL
- GBPL is a permissioned tokenised private credit instrument, issued by BridgingFi Asset Ltd. (British Virgin Islands), giving eligible investors exposure to qualifying UK property-backed bridge loans originated and serviced by BridgingFi plc.
- The underlying qualifying loans are secured by first-ranking security over UK real estate. Investors do not hold direct security over any property; their rights are those set out in the product documentation.
- GBPL is not a bank deposit, stablecoin, e-money product, cash equivalent or guaranteed investment, and is not covered by the Financial Services Compensation Scheme or any other deposit-protection or investor-compensation scheme.
- GBPL is issued on a permissioned basis on the Sui network, with transfer and access restrictions. It is not listed on any exchange and there is no unrestricted secondary market. Transfers are possible only between approved investors, as set out in the product documentation.
3. Investor eligibility
GBPL is intended only for institutional, professional, accredited or qualified investors, and for high-net-worth or sophisticated investors where legally applicable, in jurisdictions where it may lawfully be offered. It is not available to retail investors, to persons located in the United States or to persons located in Mainland China.
The confirmation given on this website to access investor-restricted pages does not establish eligibility to invest. Investor status, jurisdictional eligibility, KYC/KYB, anti-money-laundering, sanctions and source-of-funds requirements, and applicable selling restrictions are verified independently before any offering documents are provided or any subscription is accepted.
4. No public offer
Nothing on this website is an offer to sell, or a solicitation of an offer to buy, any security, token or other investment in any jurisdiction. No offering document has been approved by, or registered with, any regulator in connection with this website. 5. Target returns
Any return figures shown to eligible investors are target net annualised returns. Target returns are not guaranteed, are not a forecast or a promise, and may not be achieved. Actual returns depend on the performance of the underlying loans, including borrower repayment, recoveries, costs, fees and timing, and may be lower than the target or negative.
6. Capital risk
Capital is at risk. The value of an investment can fall as well as rise, and investors may get back less than they invested or nothing at all. There is no guarantee of capital, income or return from BridgingFi plc, BridgingFi Asset Ltd. or any other person.
7. Credit risk
Borrowers may fail to pay interest or repay principal when due. Recovery through refinancing, sale or enforcement can take considerable time, involve significant costs, and may not recover the full amount owed. Exposure is to a designated pool of loans, which may be concentrated by borrower, property type or region.
8. Property and collateral risk
Property values and achievable sale prices can fall, reducing the security cushion behind each loan. Valuations are opinions at a point in time and may not reflect the price achieved on a sale, particularly a forced sale. Enforcement of security may be delayed by legal process, planning, title, occupational or market issues.
9. Liquidity and redemption risk
GBPL is a fixed-term instrument. Eligible redemption requests may be processed at the applicable NAV, subject to the terms of the product documentation, including notice periods, redemption windows, gates, caps, pro-rating and any applicable adjustments. Redemption is not guaranteed, and investors may be unable to exit before maturity or may receive less than the amount requested.
10. Valuation risk
NAV will be determined in accordance with the valuation methodology specified in the applicable product documentation. Valuing private loans involves judgement and estimates, including in respect of impairment and recoveries. NAV may not reflect the amount that would be realised on a sale of the underlying loans.
11. Digital asset and blockchain risk
GBPL relies on blockchain networks, smart contracts, wallets, key management and custody arrangements, any of which may fail, be interrupted, contain errors or be compromised. Loss of private keys or wallet access may result in loss of access to tokens. Network fees, forks or changes to the underlying protocol may affect the operation of the instrument.
12. Operational risk
Investors rely on the systems, people and processes of BridgingFi group companies and their service providers, including for origination, servicing, collections, record-keeping, reporting and payments. Errors, fraud, cyber incidents, key-person risk or the failure of a service provider may cause losses or delays. Group companies perform different roles and may co-invest; conflicts of interest are managed under the product documentation.
13. Regulatory and legal risk
Laws and regulation applying to private credit, tokenised instruments and digital assets are developing and differ between jurisdictions. Changes in law, regulation or regulatory interpretation may affect the structure, availability, transferability, tax treatment or value of GBPL, or may require changes to its terms.
14. Tax risk
The tax treatment of an investment depends on each investor’s individual circumstances and may change. BridgingFi does not provide tax advice. Investors should obtain their own tax advice before investing.
15. Jurisdictional restrictions
The distribution of information about GBPL, and any offer of GBPL, may be restricted by law in certain jurisdictions. GBPL is not available to persons located in the United States or to US persons, to persons located in Mainland China, nor to any person in a jurisdiction where its offer or distribution would be unlawful. It is the responsibility of each person accessing this website to comply with the laws that apply to them.
